Valuations

Before entering into a sale process and/or divestment separate valuations are required depending the situation. We executed various of them over the last years under sometimes difficult and complicated circumstances.

Sale and divestments

CIC worked on and executed several sale mandates of Benelux ICT companies both small and midsize (1 - 50 mln Euro yearly turnover) offering Consultancy and/or software services and/or software products. We also succeeded in assisting on divesting programs of bigger internationally operating ICT companies. (Potential) buyers were found in the Benelux but also in Italy, Scandinavia, Germany, France, the UK and Spain.

In 2000 Getronics(NL) decided to divestment their Spanish hard- and software distributing activities operating under the name Diode with nearly 100 M € revenues. Eventually Diode was sold to the management and an investors group from Catalunya.

Both Europartners (NL) as well as Qua+ Services (NL) were specializing in staffing of IT professionals in IT network management and -installation. Both companies , with 80 employees, we sold to a Dutch IT Network- and System integrator with ambitions to strengthen their position in the Dutch market in this activity area.

Cronos (B) decide to divest their Luxembourg activities what was, with 200 employees, mainly focused on IT projects with the European Community. By acquiring Cronos Luxemburg, Sword (Fr) became a strategic position in the Benelux with sustainable business.

ACI (NL) is a software company developing, selling and implementing proprietary software automating CRM. Aemstel Ventures (NL) was looking to combine CRM expertise between companies within their portfolio, to exploit the potential in the market for CRM solutions the coming years.

Subject to their overall strategy to focus on and invest in the development to an high-end local SAP partner and - specialist, C/tac Align decided to divest their Spanish branch. Eventually the transaction was executed through a combined buy-out of the managers and ICE Consulting Services B.V. (NL), obtaining their ambitioned Spanish position as an international SAP service provider.

Unit 4 Agresso Accountancy B.V. has a leading position in the Netherlands in software for accountancy firms. In their one-stop-shopping model they also offered hardware and designing the network infrastructure. In 2003 they decided to divest these specific non-core activities. Confidentiality and speed minimizing rumour with employees and existing clients was very important. We successfully advised in this so called carve-out by introducing only of few potential buyers we knew and qualified already. We eventually close the transaction with a candidate that presented the best strategic fit, also for a future partnership, and was able to meet the required speed.

Motifact is a leading IT system service management provider in the Netherlands. With 90 employees it is unique in its offering of tool implementation and outsourcing services for efficiently managing the IT infrastructure and - systems within large companies. We successfully sold the company to 2escape2 after also to have mediated and advised in the internal roll-up of the different shareholders to the holding. The activities of Motifact fit very well the ambitions of 2escape2, a UK based group with focus on IT outsourcing and servicing, to further strengthen their position in the Benelux.

Since its incorporation in 1997, 4C Consultants focused on advising companies in CRM processes, from a business and IT point of view. The company grew to app. 80 people end of 2001. In 2002, due to the lack of demand for this expertise, especially the business part, the management was forced to restructure. They succeeded and finished the full process end of 2003. We were asked to look for a strategic investor as the company was again in a growth scenario, and to strengthen its financial position to finance this growth. Currently 4C consultants again is growing and performing also as a result of the utilized synergy with the new shareholder.

Being part of ISIT Holding with its main activities around offering integrated storage solutions, CCG as a distributor initially strengthen the knowledge- and market position for ISIT. Because of the threat for increasing ´channel conflicts`, as ISIT offers its solutions direct to the end user, CCG was decide to be divested. Logix, as an internationally present value added distributor with already a small operation in the Netherlands, could strengthen their position with this acquisition both from a quantitative - as from a qualitative perspective with the specific value added knowledge of storage solutions available within CCG.

Topficie was looking to increase their size of business to retain their current position with their major customer group, the financial sector. For Devoteam Group SA, a listed international operating French IT services provider, the Netherlands is considered as their `second` market. To strengthen the diminishing Dutch activities they were looking to do an acquisition to complement their portfolio of activities and also recruit strong management to up lift the operation in the Netherlands again. Part of the post merger plan will be the integration of both businesses, with the management of Topficie responsible for the combined operations.

With their group of companies MCA (Micro Computer Associates) focuses at software development for the higher educational market and public sector. To consolidate and strengthen their strong position in these areas the company was looking for an opportunity to become part of a larger player, active in software development. Driven by the increasing consolidation in the software sector Unit4Agresso was ambitioned to acquire a position in new markets in the UK. The existing activities of both U4A UK and MCA will be lined up after the acquisition to create immediate synergies on the short term.

Square Applications B.V. (NL) offers software for the automation of pay-per-use contract management and invoicing, with also modules for asset- and field service management. For major shareholder Gilde IT Fund II we looked for a strategic buyer. To sustain their position with clients in the area of infrastructure- and workspace management, Simac Techniek B.V. (NL) was looking to complement their offering with business software solutions.

Ubizen N.V. (Belgium), part of Cybertrust Inc., offers managed- and professional services in the area of IT security solutions. As part of Ubizen, Expanded Media, with their e-business solutions offering, increasingly was a non fit with the core activities of the group. For Ubizen we successfully divested the company to Devoteam Group SA (FR). Devoteam was looking to complement their Belgium activities with e-business knowledge and strengthening their project oriented business.

ECgroup B.V. (NL) was incorporated in 2003 through the acquisition of the Dutch activities of ECsoft Ltd by Dawud Ventures (NL). After successfully restructuring and repositioning the company in 2004, in 2005 ECgroup B.V. optimized its business model and was prepared for an exit by Dawud Ventures. For Dawud Ventures we sold the company to Axioma Groep (NL, part of the Dutch listed company De Nederlandse Companie N.V.) which was ambitioned to further build up their IT activities in the Netherlands.

Tisa is a group of companies with a proven track record in the Spanish market, focused on development, implementation and maintenance of integrated IT solutions (software + hardware) for specific sectors like restaurants, ware houses, supermarkets, drugstores, opticians, shops. As the main shareholder reached 'retirement' age and both within his family and in the company there was no successor, we advise him on a transaction with a strategic buyer. i68, also active in Spain in this sector, retained the organisation and also could bring a good new future for the employees.
Because of lack of synergies with the core business of the shareholders (DIT Group and Detron Corporation) we where asked to assist in divesting Systence B.V., a multi disciplinary industrial automation engineering company. We successfully closed the transaction with Aemstel Ventures, an entrepreneurial private equity boutique, which brought in management and new shared future vision.
ISIT is an independent storage integrator with more than 15 years experience. Its specialty areas comprise network attached storage solutions, storage area networks, centralised back up/restore solutions and archiving. Under the ownership and leadership of Roelof Borggreve the company reached a top position in the Dutch storage solution market. We were requested to find the right strategic partner in order to further strengthen the market position of the company and insure continued growth.

CIC advised and brokered in the sale of the shares of Lopac B.V. to Unit4 Agresso. Lopac was for many years already active in this market as established party in the software market for Acountants for medium and small businesses who offer payroll services to their clients. Unit4 Agresso is the market leader in this segment in the Netherlands and looking for strengthening its market position. Owner Microloon Beheer had to make a choice to stay independent or to look for strategic partner and a trade sale.
CIC assisted Microloon Beheer in the decision making process, the search and the selection of the most appropriate candidate. That was U4A with whom negotiations were started and a win win situation could be created.
Squire is a renowned specialist in the Netherlands in deploying and maintaining ICT infrastructures. Centralized server parks with the newest technologies of virtualization and storage, workspace automation are the focus areas of Squire. Since the company has reached a more mature state the founders/ managers were looking for a new strategic partner thus creating optimal conditions for the company, the management and the professionals to capitalize on the knowledge and client base of the company and insure sustained future growth.
The acquisition by Detron ICT & Telecom Group fits perfectly in Squires ambition to conquer a top position in managed services in the market of ICT services of midsized and larger companies.
CIC advised the share holders of Squire in the search and full process until completion.
Detron is a strategic investor in telecom, media en IT and believes in the acceleration of the convergence of Telecom and IT. It has certain interests in both areas already
Kender Thijssen (KT) is a reputable, well known company in IT and telecom projects and managed services. The activities of Detron and Kender Thijssen are complementary and strengthen each other. KT needed a new strategic direction, a new growth impulse and therefore also new management.
CIC searched and identified candidates on behalf of Detron and advised in the acquisition process of KT.

C-Logic is active in the market of adminstrative software for midsize and smaller enterprises like Unit4Agresso. Unit4Agresso wants to strengthen its existing market position in Belgium. Furthermore C-Logic has a strong position with Accountants in Belgium. Together with the international accountancy products of U4A in the Netherlands the Belgian market can be unlocked for these products.
CIC advised U4A as from the search until the closing of the process.

Acquisition programs

For a number of Benelux based ICT Companies we successfully assisted on their national and foreign acquisition program. We served Benelux based companies with foreign ambitions in France, Spain, Scandinavia, UK and Germany. Our role varied in defining together with the management the corporate strategy until executing the search and acquisition process.

Through our Quality Network we also are/were able to work for foreign ICT companies with ambitions in entering new Pan European markets. For example we succeeded for some French companies with ambitions for the Benelux market. We also assisted on the acquisition programs for Germany, UK and Scandinavia.

To strengthen their activities in the Internet Services division, Unit 4 (NL)was looking to acquire a strong internet company with a sound track record and client base. Amercom with app. 20 employees fitted these criteria and was successfully acquired in 2001.

Part of their internalisation program, Lost Boys (Dutch based) was looking for a Internet company in the Paris region. Through Lab Production (40 employees) Lost Boys strengthen their position as an IT interactive media consulting player with an impressive Blue chip customer base in France.

Sylis Group SA (Fr) internationally expand its business in 1998, first by acquiring two companies in Belgium in 1999 and late 2000 with NTNT Nederland BV (NL) with some 400 employees specializing in Network- and system management.

By acquiring Gyata Consulting BV (NL) with 50 employees Altran (Fr) strengthen their position in the Netherlands as a global Consultancy firm also with expertise in IT.

To secure their position as a preferred supplier with the largest IT services customers, LinkiT Group (NL)was forced to aggressively grow their company. By acquiring Q Face (NL), Link IT doubled their size to 400 employees.

To capitalize on their software European wide Unit 4 Agresso (NL) was looking to acquire a software consultancy & implementation company in Spain. Escador Riverside with 100 employees and branches throughout Spain enables Unit 4 Agresso in successfully executing their strategy by entering into a strategic alliance with them.

ISM has a leading position in the Netherlands as an independent e-commerce solutions provider. Part of their growth strategy was to strengthen their market position by expanding their customer base and their offering around interactive and graphical concepts and design. Through our research and quality network shortly after kick-off we could introduce them to Codim Interactive Media, that offers high-end communication concepts to their customers (more than 80) and brings in expertise of interactive design, media productions and e-learning. CIC managed to bring the process to closing within 2 months after the first introduction.

Unit4agresso is ambitious to strengthen their position in the governmental market. With their current solutions based on the Microsoft platform there where only limited possibilities to increase the customer base. Decade is a supplier of software (based on the Oracle platform), with a focus on local governments and service oriented institutions like associations and foundations, educational institutions and housing corporations.

Business development/Corporate (re-) structuring

CIC worked for several ICT companies in adding company value through business development and/or (re-) structuring. For example for an ICT services company we assisted on the role out of an ASP concept, as part of their services portfolio. We advised and assisted in the making and execution of strategic plans for a specialized Printing company in the field of electronic security. Another example is the restructuring of a Benelux based company for a successful exit to a foreign buyer. We also assisted in Management Buy-outs and Management Buy-ins in this context.
